the two biggest issues are 1) coming to terms on a price, and 2) coming to terms on usage. it's one thing if they only want to use it on the web in a minor, supporting role. it's altogether different if they want to build their entire web campaign around it. and, it's a whole different book if they want to start incorporating the image onto saleable merchandise (such as t-shirts, postcards, etc.). you need to find out the full scope of how they envision using the image.

start with this thread. just realize the prices this comes up with is only a starting point for a negotiation. if this website developer has any experience, you should be able to ask them what they typically pay; then you can decide if it's close enough or too far apart from what you consider fair.

i typically use language as follows in the body of my receipt: "License fee for billboard use of image:
051002-James River Rapids-0091-300dpi
Image Description: Photograph of kayaker captured on the James River at Richmond, VA on October 2, 2005. Kayaker is just left of center of image, about to roll over to the left. Paddle is nearly vertical.
This license is limited to publishing the image as part of a metro-Richmond regional billboard campaign that will involve up to 6 billboards and will last up to 8 months. Any additional uses or extended use may be subject to additional fees, and is prohibited without prior written permission."

you only have to charge sales tax if they are not sales tax exempt. if they are a business and charge and collect sales tax, then you do not have to collect from them.
