Just been browsing and came across this:

PENTAX 645 Digital
Kodak-developed extra-large CCD image sensor with 31.6 total megapixels (tentative). Compatibility with existing smc PENTAX 645 interchangeable lenses. A pair of storage-media slots for the loading of an SD memory card and a CompactFlash card. Market launch schedule to be announced at a later date.

That's all the available details at the moment. Check it out a dpreview.

Sounds interesting but I'm guessing that the HD3 will still kick its #$$.

This would probably price around 10 to 15k US.

The 645D uses the same Kodak sensor as the HD3-31, and probably wont cost as much...

The Hassie retails at $24 995 US.

As option points out - there's approximately zero chance the pentax will be anywhere near that kind of a number.
