let's say i have 2 digicams , X has a 3 megapixels sensor and Y has a 6 megapixels sensor.
if i take a picture of exactly the same thing/scene with exactly the same settings (aperture,shutter speed,iso etc) with cameras X and Y ...
and I resize the two resulting pictures into 640X480 ,
is there a noticeable difference in image quality between the two ?
how about file size ?

I say yes because the 6 megapixels may be able to capture more details then the 3 megapixels.

It will depend on the content and color of the image. Any additional detailed captured by the 6MP sensor may or may not be lost/degraded in the downsampling process.
Depending on the exact numbers involved, you might, for example, get a better-looking picture with the 3MP camera resucing the width to 600 pixels than with the 6MP camera resizing to 640 pixels. I don't think there's enough advantage to make it worth getting a larger sensor if the intent is to primarily create small, web-sized photos.

X and Y will produce images of a comparable quality (depending on their respective cams and if none of their images are cropped. Y could crop his more than Y his, however, before experiencing a degradation of quality.)
I both submit their images to DPC and both size and resolution (pixels/square inch) are identical, then, well then, you have no difference. ;-)
